Item 1.01. Entry into a Material Definitive Agreement.
On May 14 2024, Insight Enterprises, Inc. (the “Company”) entered into a fourth amendment to credit agreement (the “Fourth Amendment”) with JPMorgan Chase Bank, N.A., as Administrative Agent (the “Agent”), the lenders party thereto, certain of Insight’s subsidiaries organized in the United States, the United Kingdom, the Netherlands and Australia, as additional borrowers (collectively with Insight, the “Borrowers”), and certain of Insight’s subsidiaries organized in the United States, the United Kingdom, the Netherlands, Australia and Canada, as guarantors (collectively, the “Guarantors”), which amends the credit agreement, dated as of August 30, 2019 (as amended, the “ABL Credit Agreement”), among Insight, the other Borrowers party thereto, the Guarantors party thereto, the lenders party thereto and the Agent, to, among other things, release certain immaterial guarantors from their obligations under the ABL Credit Agreement.

Item 8.01. Other Events.
On May 15, 2024, the Company issued a press release announcing its plan to offer, subject to market and other conditions, $500 million aggregate principal amount of senior notes due 2032. A copy of the press release is attached hereto as Exhibit 99.1 and is incorporated herein by this reference.
