Item 8.01 — Other Events

On June 27, 2024, Insmed Incorporated (the “Company”) issued a press release, a copy of which is attached hereto as Exhibit 99.1 and incorporated herein by reference, announcing that it has called all $225 million aggregate principal amount of its outstanding 1.75% Convertible Senior Notes due 2025 (the “Notes”) for redemption. The redemption will be effected pursuant to the terms of the Indenture, dated as of January 26, 2018, as supplemented by the First Supplemental Indenture, dated as of January 26, 2018 (as so supplemented, the “Indenture”), between the Company and Computershare Trust Company, N.A., as successor trustee to Wells Fargo Bank, National Association. All then outstanding Notes will be redeemed on August 9, 2024 (the “Redemption Date”) at a redemption price equal to 100% of the principal amount of such Notes, plus accrued and unpaid interest on such Notes to, but excluding, the Redemption Date (the “Redemption Price”).

The Notes may be surrendered for conversion at any time before 5:00 p.m., New York City time, on August 8, 2024 (or, if the Company fails to pay the Redemption Price on the Redemption Date, at any time until 5:00 p.m., New York City time, the date on which the Redemption Price is paid). The Company has elected to settle all such conversions of Notes in shares of common stock in accordance with the Indenture.

This Current Report on Form 8-K is not a notice of redemption or convertibility of the Notes. The redemption is being made solely pursuant to the Notice of Redemption, dated June 27, 2024, relating to the Notes.
