On February 20, 2025, Insmed Incorporated issued a press release regarding its financial results for the three months and fiscal year ended December 31, 2024. A copy of this press release is furnished herewith as Exhibit 99.1 pursuant to this Item 2.02. The slide presentation to be used during the conference call referenced in the press release is attached hereto as Exhibit 99.2 and incorporated herein by reference.

On February 18, 2025, Alfred Altomari notified the board of directors (the “Board”) of the Company that he will not stand for re-election to the Board upon the expiration of his current term as a Class I director, which occurs at the Company’s 2025 Annual Meeting of Shareholders (the “Annual Meeting”). Mr. Altomari will continue to serve as a member of the Board and of the Audit Committee and Compensation Committee of the Board until the Annual Meeting. Mr. Altomari’s decision not to stand for re-election to the Board was not a result of any disagreement with the Company on any matter relating to the Company’s operations, policies or practices.
