1. Grant of restricted stock units to reporting person on December 11, 2025. The restricted stock units vest as to 1/3 of the shares on December 11, 2026, 1/3 of the shares on December 11, 2027 and 1/3 of the shares on December 11, 2028.

2. Shares held by the reporting person's spouse. The reporting person disclaims beneficial ownership of these shares except to the extent of their pecuniary interest.
