On March 18, 2025, Beth A. Zayicek, one of our executive directors, notified us of her resignation from Invesco Ltd., effective May 23, 2025. Ms. Zayicek will continue to serve as a member of our board of directors through her current term, which ends on May 6, 2025, but will not seek re-election at the 2025 annual stockholders meeting. Our board of directors intends to appoint a new executive director to fill the vacancy created at the end of Ms. Zayicek’s term. Ms. Zayicek’s resignation is not due to any disagreement with our company on any matter relating to our operations, policies or practices.
