Item 5.02

Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On May 22, 2023, Yafei (Roxi) Wen notified Invitae Corporation (the “Company”) of her decision to resign as Chief Financial Officer of the Company to pursue other opportunities, effective June 30, 2023. She will continue to serve the Company as its Chief Financial Officer through such date.

The Company has initiated a search for a permanent Chief Financial Officer. Christine Gorjanc, who is currently serving as the Chair of the Audit Committee of the Board of Directors, will assume the role of interim Chief Financial Officer if a permanent replacement is not in place by the time Ms. Wen’s resignation becomes effective. Ms. Gorjanc will resign from the Audit Committee while serving as interim Chief Financial Officer.

Ms. Wen’s resignation is not the result of any disagreement with the Company on any matter related to the Company’s operations, policies or procedures.
