Item 8.01 Other Events.

The 2022 Annual Meeting of Stockholders for Ipsidy Inc. (the “Company”) is tentatively scheduled to be held on September 20, 2022, which date is more than 30 days from the one year anniversary of the date on which the 2021 Annual Meeting of Stockholders took place. The proxy rules promulgated by the Securities and Exchange Commission under the Securities Exchange Act of 1934 require the Company to inform stockholders of such change in date in addition to the new deadline for stockholder proposals in the Company’s earliest possible Quarterly Report on Form 10-Q, or, if impracticable, by any means reasonably calculated to inform stockholders. Accordingly, the Company hereby notifies our stockholders that stockholder proposals for its 2022 Annual Meeting must be submitted to the Company no later than June 30, 2022 (which the Company determined to be a reasonable time before it expects to begin to print and distribute its proxy materials prior to the Annual Meeting).
