Other Events.

On November 27, 2023, the European Commission sent to Amazon.com, Inc. a Statement of Objections relating to the proposed acquisition of iRobot Corporation, a Delaware corporation (the “Company” or “iRobot”) by Amazon.com, Inc., a Delaware corporation (“Parent or “Amazon”), by way of a proposed merger pursuant to which Martin Merger Sub, Inc., a Delaware corporation and a wholly owned subsidiary of Parent (“Merger Sub”), will merge with and into the Company (the “Merger”), with the Company surviving the Merger as a wholly owned subsidiary of Parent. The Statement of Objections is a formal step in the investigation by which the European Commission sets out in writing its preliminary assessment regarding the combination of the Company and Amazon. A Statement of Objections is a preparatory document informing the recipients of the European Commission’s objections, and does not prejudge the European Commission’s final decision. The issuing of a Statement of Objections allows recipients to present arguments in response to the European Commission’s preliminary assessment of the competitive effects of a notified transaction and to consult the European Commission’s case file. The transaction was notified to the European Commission on June 1, 2023. The European Commission opened an in-depth investigation on July 6, 2023 and has until February 14, 2024 to adopt a final decision.

Completion of the Merger is subject to certain closing conditions, as set forth in the previously announced Agreement and Plan of Merger (as amended and supplemented by the previously announced Amendment to Agreement and Plan of Merger).
