On May 22, 2025, Ispire Technology Inc. (the “Company”) issued a press release announcing its receipt of an interim license from the government of Malaysia for the manufacturing of nicotine products. A copy of the press release issued by the Company is attached hereto as Exhibit 99.1 and is incorporated by reference into this Item 8.01.
