Item 2.02 Results of Operations and Financial Condition

On March 31, 2026, J.Jill, Inc. issued a press release to announce its financial results for the fourth quarter and fiscal year ended January 31, 2026. A copy of the press release is attached as Exhibit 99.1 to this current report on Form 8-K and is incorporated herein by reference.

Item 8.01 Other Events.

On March 31, 2026, the Board of Directors of J.Jill, Inc. (the “Company”) declared a quarterly cash dividend of $0.09 per share on the Company’s common stock (the “Dividend”). The Dividend is payable on April 28, 2026 to stockholders of record of issued and outstanding shares of the Company’s common stock as of April 14, 2026.
