Explanation of Responses:

1. Restricted stock granted under the Company's 2019 Amended and Restated Equity and Incentive Compensation Plan, which is expected to vest in three equal installments on February 19, 2025, February 19, 2026, and February 19, 2027, subject to the terms of the grant agreement between the Company and the reporting person. Pursuant to the merger agreement entered into by and between the Company, MIWD Holding Company LLC, and RMR Merge Co, Inc., dated as of January 16, 2024, following the consummation of the merger, the restricted stock will be settled in cash upon vesting.
