Other Events.

On October 19, 2022, Jazz Pharmaceuticals plc (the “Company”) issued a press release announcing that it has entered into an exclusive licensing agreement with Zymeworks Inc. for the Company to acquire rights in the United States, Europe, Japan and other territories except for those Asia/Pacific territories that Zymeworks previously licensed for zanidatamab, a HER2-targeted bispecific antibody with novel mechanisms of action. A copy of the press release is filed herewith as Exhibit 99.1 and incorporated herein by reference.
