    Provides Q3 FY25 Outlook

    J.Jill, Inc. (NYSE:JILL) ("J.Jill" or the "Company") today announced financial results for the second quarter of fiscal year 2025.

    Mary Ellen Coyne, Chief Executive Officer and President of J.Jill, Inc., commented, "During the second quarter we saw sequential improvement in sales trends each month as traffic improved and customers responded positively to the summer sale period. In line with our operating model disciplines, we took actions in season to enter the second half of the year with inventories more aligned with current trends, and we are pleased with how our teams are continuing to navigate a very dynamic environment."

    For the second quarter ended August 2, 2025:

    • Net sales for the second quarter of fiscal 2025 decreased 0.8% to $154.0 million compared to $155.2 million for the second quarter of fiscal 2024.
    • Total company comparable sales, which includes comparable store and direct to consumer sales, decreased by 1.0% for the second quarter of fiscal 2025.
    • Direct to consumer net sales, which represented 46.4% of net sales, were down 2.2% compared to the second quarter of fiscal 2024.
    • Gross profit was $105.4 million compared to $109.4 million in the second quarter of fiscal 2024. Gross margin was 68.4% compared to 70.5% in the second quarter of fiscal 2024.
    • SG&A was $88.6 million compared to $86.3 million in the second quarter of fiscal 2024.
    • Operating income was $16.8 million compared to $23.0 million in the second quarter of fiscal 2024. Operating income margin for the second quarter of fiscal 2025 was 10.9% compared to 14.8% in the second quarter of fiscal 2024. Adjusted Income from Operations* was $19.6 million compared to $24.9 million in the second quarter of fiscal 2024.
    • Interest expense was $2.7 million compared to $3.7 million in the second quarter of fiscal 2024. Interest income was $0.5 million in the second quarter of fiscal 2025 and 2024.
    • During the second quarter of fiscal 2025, the Company recorded an income tax provision of $4.0 million compared to $3.1 million in the second quarter of fiscal 2024 and the effective tax rate was 27.7% compared to 27.3% in the second quarter of fiscal 2024.
    • Net Income was $10.5 million compared to $8.2 million in the second quarter of fiscal 2024. Net Income in the second quarter of fiscal 2024 included $8.6 million in expenses related to the loss on extinguishment of debt in the period.
    • Net Income per Diluted Share was $0.69 for the second quarter of fiscal 2025 compared to $0.54 in the second quarter of fiscal 2024. Adjusted Net Income per Diluted Share* in the second quarter of fiscal 2025 was $0.81 compared to $1.05 in the second quarter of fiscal 2024.
    • Adjusted EBITDA* for the second quarter of fiscal 2025 was $25.6 million compared to $30.2 million in the second quarter of fiscal 2024. Adjusted EBITDA margin* for the second quarter of fiscal 2025 was 16.6% compared to 19.4% in the second quarter of fiscal 2024.
    • The Company closed two stores in the second quarter of fiscal 2025. The store count at the end of the quarter is 247 stores compared to 244 stores at the end of the second quarter of fiscal 2024.

    For the twenty-six weeks ended August 2, 2025:

    • Net sales for the twenty-six weeks ended August 2, 2025 decreased 2.9% to $307.6 million compared to $316.8 million for the twenty-six weeks ended August 3, 2024.
    • Total company comparable sales, which includes comparable store and direct to consumer sales, decreased by 3.5% for the twenty-six weeks ended August 2, 2025.
    • Direct to consumer net sales, which represented 46.6% of net sales, decreased 3.8% compared to the twenty-six weeks ended August 3, 2024.
    • Gross profit was $215.7 million compared to $227.1 million for the twenty-six weeks ended August 3, 2024. Gross margin was 70.1% compared to 71.7% for the twenty-six weeks ended August 3, 2024.
    • SG&A was $179.7 million compared to $175.4 million for the twenty-six weeks ended August 3, 2024. SG&A as a percentage of total net sales was 58.4% compared to 55.4% for the twenty-six weeks ended August 3, 2024.
    • Operating income was $35.8 million compared to $51.4 million for the twenty-six weeks ended August 3, 2024. Operating income margin for the twenty-six weeks ended August 2, 2025 was 11.7% compared to 16.2% for the twenty-six weeks ended August 3, 2024. Adjusted Income from Operations* was $41.2 million compared to $54.5 million for the twenty-six weeks ended August 3, 2024.
    • Interest expense was $5.5 million compared to $10.2 million for the twenty-six weeks ended August 3, 2024. Interest income was $0.9 million compared to $1.5 million for the twenty-six weeks ended August 3, 2024.
    • During the twenty-six weeks ended August 2, 2025, the Company recorded an income tax provision of $9.0 million compared to $9.3 million for the twenty-six weeks ended August 3, 2024 and the effective tax rate was 28.8% compared to 27.2% for the twenty-six weeks ended August 3, 2024.
    • Net Income was $22.2 million compared to $24.9 million for the twenty-six weeks ended August 3, 2024. Net Income in the twenty-six weeks ended August 3, 2024 included $8.6 million in expenses related to the loss on extinguishment of debt in the second quarter of fiscal 2024.
    • Net Income per Diluted Share was $1.45 compared to $1.69 for the twenty-six weeks ended August 3, 2024. Adjusted Net Income per Diluted Share* for the twenty-six weeks ended August 2, 2025 was $1.69 compared to $2.27 for the twenty-six weeks ended August 3, 2024.
    • Adjusted EBITDA* for the twenty-six weeks ended August 2, 2025 was $52.9 million compared to $65.8 million for the twenty-six weeks ended August 3, 2024. Adjusted EBITDA margin* for the twenty-six weeks ended August 2, 2025 was 17.2% compared to 20.8% for the twenty-six weeks ended August 3, 2024.
    • The Company closed five stores for the twenty-six weeks ended August 2, 2025. The store count at the end of the twenty-six weeks ended August 2, 2025 is 247 stores compared to 244 stores at the end of the second quarter of fiscal 2024.

    Balance Sheet and Cash Flow Highlights

    • Inventory at the end of the second quarter of fiscal 2025 was $55.3 million compared to $52.7 million at the end of the second quarter of fiscal 2024.
    • Net Cash provided by Operating Activities for the thirteen weeks ended August 2, 2025, was $19.4 million compared to $16.4 million in the prior year period. Net Cash provided by Operating Activities for the twenty-six weeks ended August 2, 2025, was $24.7 million compared to $37.9 million for the twenty-six weeks ended August 3, 2024.
    • Free Cash Flow* for the thirteen weeks ended August 2, 2025, was $16.6 million compared to $14.1 million for the prior year period. Free Cash Flow* for the twenty-six weeks ended August 2, 2025, $19.2 million compared to $33.3 million for the twenty-six weeks ended August 3, 2024.
    • The Company ended the second quarter of fiscal 2025 with a cash balance of $45.5 million.

    Share Repurchase Authorization

    During the thirteen and twenty-six weeks ended August 2, 2025, the Company repurchased 68,440 and 255,240 shares of its common stock for an aggregate purchase price of $1.0 million and $4.5 million, respectively.

    As of August 2, 2025, the Company had $20.0 million remaining under our currently authorized $25.0 million share repurchase program, which expires by December 6, 2026. The share repurchase program is expected to be funded through the Company's existing cash and future free cash flow. The timing of any repurchases and the number of shares repurchased are subject to the discretion of the Company and may be affected by various factors, including general market and economic conditions, the market price of the Company's common stock, the Company's earnings, financial condition, capital requirements and levels of indebtedness, legal requirements, and other factors that management may deem relevant. The share repurchase program authorization does not obligate the Company to acquire any shares of its common stock and may be amended, suspended or discontinued at any time. Shares may be repurchased from time to time through open market transactions, block trades, privately negotiated purchase transactions or other purchase techniques and may include purchases effected pursuant to one or more trading plans established pursuant to Rule 10b5-1 under the Securities Exchange Act of 1934.

    Quarterly Dividend Payment

    On June 3, 2025 the Board declared a quarterly cash dividend of $0.08 per share, payable on July 9, 2025 to stockholders of record of issued and outstanding shares of the Company's common stock as of June 25, 2025.

    Following the end of the second quarter of fiscal 2025, on August 27, 2025, the Board declared a cash dividend of $0.08 per share, payable on October 1, 2025 to stockholders of record of issued and outstanding shares of the Company's common stock as of September 17, 2025.

    Outlook

    For the Third Quarter of Fiscal 2025, the Company expects the following:

    • Net Sales to be approximately flat to down low-single digits compared to fiscal 2024
    • Comparable Sales to be down low to mid-single digits compared to fiscal 2024
    • Adjusted EBITDA of $18.0 million to $22.0 million

    The above guidance incorporates approximately $5.0 million of incremental cost impact from tariffs, net of vendor negotiated offsets, based on tariff policies in place as of September 2, 2025.

    For Fiscal 2025, the Company continues to expect the following:

    • Total capital expenditures of $20.0 million to $25.0 million
    • Net new store growth of 1 to 5 new stores
