Explanation of Responses:

1. Represents (i) 856 shares of the issuer's common stock ("Common Stock") subject to the 2021 Restricted Stock Units ("RSU") that vested upon the attainment of a certain performance goal based on average return on equity ("ROE") measured over the 2021 calendar year and continued service by the reporting person through December 31, 2023 and (ii) 1,222 shares of Common Stock subject to 2021 RSUs that vested upon the attainment of a certain performance goal based on relative total shareholder return ("TSR") measured over the period including the 2021 calendar year and continued service by the reporting person through December 31, 2023.

2. Represents (i) 272 shares of Common Stock withheld by the issuer in satisfaction of the applicable withholding taxes on shares of Common Stock that became issuable pursuant to the vesting of the 2021 ROE RSUs reported on this Form 4 and (ii) 389 shares of Common Stock withheld by the issuer in satisfaction of the applicable withholding taxes on shares of Common Stock that became issuable pursuant to the vesting of the 2021 TSR RSUs reported on this Form 4.

3. Represents (i) 5,104 shares of Common Stock, (ii) 3,082 shares subject to RSUs that will vest over a period of service and be settled in accordance with the terms of the awards subject to accelerated vesting under certain prescribed circumstances, and (iii) 16,807 shares subject to DSUs that are vested and will be settled in accordance with an election previously made by the reporting person. Each RSU and DSU will entitle the reporting person to one share of common stock upon settlement.
