Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

(b) On November 5, 2021, Eric B. Heyer, Senior Executive Vice President and Chief Operating Officer of Kearny Financial Corp. (the “Company”), notified the Company of his intention to retire on June 30, 2022. Mr. Heyer will remain with the Company during this period to assist with the transition of his responsibilities, and he will continue to serve as Senior Executive Vice President and Chief Operating Officer and a member of the Company’s senior executive team during that time. Upon Mr. Heyer’s retirement, Keith Suchodolski, Executive Vice President and Chief Financial Officer, will assume Mr. Heyer’s responsibilities as part of his own duties.
