Item 5.02

Departure of Directors or Principal Officers; Election of Directors; Appointment of Principal Officers.

On September 23, 2021, Bruce D. Broussard resigned from the KeyCorp Board of Directors and, in connection therewith, from the KeyCorp Compensation and Organization Committee and Technology Committee, on which he also served. Mr. Broussard resigned to focus on other business obligations and not as a result of any disagreement with KeyCorp on any matter relating to its operations, policies or practices.
