1. These transactions were effected by the Reporting Person pursuant to a Rule 10b5-1 trading plan adopted on June 22, 2023.

2. 25% of the shares underlying this option vested on December 20, 2022, with the remaining shares vesting in 36 equal monthly installments thereafter, subject to the Reporting Person's continued service on each such vesting date.
