Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers
On March 24, 2025, Kimball Electronics, Inc. (the “Company”) announced an internal promotion, effective immediately. Douglas A. Hass, age 49, has been appointed to the role of Chief Legal and Administrative Officer and Secretary. Mr. Hass has been our Chief Legal and Compliance Officer and Secretary since 2022. He previously was our Associate General Counsel and Assistant Secretary since 2020 and held the position of General Counsel and Secretary of Lifeway Foods since 2016.
Mr. Hass is not related to any member of the Board or any executive officer of the Company and is not a party to any transactions listed in Item 404(a) of Regulation S-K. There are no arrangements or understandings between Mr. Hass and any other persons pursuant to which he was appointed to his new position. No new compensatory or severance arrangements were entered into in connection with Mr. Hass’s promotion, and he will continue to participate in our executive compensation plans, including our 2023 Equity Incentive Plan and our Leadership Team Severance and Change in Control Plan.
