Item 5.02.			Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On February 24, 2025, Deborah Macdonald notified Kinder Morgan, Inc. (“KMI”) that she will retire from KMI’s Board of Directors (the “Board”) at the end of her current term and consequently will not stand for re-election to the Board at KMI’s 2025 annual meeting of stockholders in May (the “2025 Annual Meeting”). Ms. Macdonald’s current term will expire at the 2025 Annual Meeting. Ms. Macdonald’s decision to retire is not due to any disagreement with KMI.
