Item 5.02  Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

 

Effective April 11, 2025, Charles Frischer. resigned as a director of Kingsway Financial Services Inc. (“Company”) and member of the Audit Committee. Mr. Frischer’s resignation from the Board of Directors of the Company did not result from any disagreement with the Company. Effective April 11, 2025, Adam Patinkin, a member of the Company's Board of Directors, will be appointed to the Audit Committee of the Board of Directors.
