Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On November 27, 2023, Rachel A. Foley resigned as Chief Operating Officer of Lake Shore Bancorp, Inc. (the “Company”) and Lake Shore Savings Bank (the “Bank”) to pursue other opportunities effective on December 11, 2023.

Ms. Foley did not cite any disagreements with the Company or the Bank in connection with her resignation.
