Item 5.02

Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On January 20, 2023, Lantronix, Inc. (the “Company”) and Fathi Hakam, Vice President of Engineering, agreed that Mr. Hakam will step down from his position as Vice President of Engineering, effective immediately. Mr. Hakam is expected to continue to be employed with the Company in a non-officer role until August 3, 2023, in order to provide support assistance, advice, and training relating to engineering matters involving the Company as well as any other similar matters requested by the Company’s Chief Executive Officer.
