| 1. This Form 4 is being filed by Electrum Strategic Opportunities Fund II L.P. (the "Fund"), as well as Electrum Strategic Opportunities Fund II GP L.P. (the "Fund GP"), ESOF II GP Ltd. ("ESOF II GP") and The Electrum Group LLC ("TEG"). The Fund GP is the general partner of the Fund, and ESOF II GP is the general partner of the Fund GP. TEG is the investment advisor to the Fund. By virtue of these relationships, the reporting persons may be deemed to have shared voting and investment discretion with respect to the Common Shares of International Tower Hill Mines Ltd. held by the Fund. |
