Explanation of Responses:

1. Pursuant to the RE/MAX Holdings, Inc. 2023 Omnibus Incentive Plan, on March 1, 2024, the reporting person was granted performance-based restricted stock units ("RSUs") which will vest, if at all, following the performance period of January 1, 2024, through December 31, 2026. The number set forth above is the target amount. The number of RSUs that vest will range from 0-200% of such amount.

2. Includes 51,816 unvested RSUs.

3. Pursuant to the RE/MAX Holdings, Inc. 2023 Omnibus Incentive Plan, on March 1, 2024, the reporting person was granted time-based RSUs which vest in three equal annual installments beginning on March 1, 2025.

4. Includes 83,986 unvested RSUs.

5. Represents the incremental number of RSUs above the previously reported target amount based on performance-based RSUs granted in 2021.

6. Represents shares of Class A common stock withheld by the issuer in satisfaction of tax withholding obligations upon the issuance of Class A common stock in settlement of RSUs on March 1, 2024.
