Item 5.02.

Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On May 31, 2022, Joan Atkinson Nano provided notice that she was resigning as LGL’s Chief Accounting Officer, effective June 1, 2022. Joan stated: “I appreciate the opportunity to have worked with the individuals at LGL during the past few years. It was rewarding to be part of the team during a challenging time with so many interesting issues to address. Best wishes for success with the upcoming spin-off, strong cash position and record operational backlog..”

LGL’s accounting functions and personnel will continue to be overseen by both LGL’s Chief Financial Officer and its Controller, as had been the case prior to and during Joan’s term at LGL.
