On November 11, 2024, Gregory B. Maffei, the President and Chief Executive Officer, and a member of the Board of Directors of Liberty Media Corporation (“Liberty Media” or the “Company”), notified the Company that he will be stepping down from these roles at the end of 2024. Liberty Media’s Chairman, John C. Malone, will assume the additional role of interim Chief Executive Officer of the Company at that time. Mr. Maffei will serve as a Senior Advisor to the Company effective January 1, 2025.
The information required by Items 401(b), (d), (e) and Item 404(a) of Regulation S-K relating to Mr. Malone is hereby incorporated by reference to Liberty Media’s Proxy Statement for its 2024 Annual Meeting, as filed with the Securities and Exchange Commission (“SEC”) on April 25, 2024.
Item 7.01. Regulation FD Disclosure.
On November 13, 2024, Liberty Media issued a press release regarding Mr. Maffei’s transition described in Item 5.02 above and that Mr. Malone will be assuming the additional role of interim Chief Executive Officer of the Company.
This Item 7.01 and the press release attached hereto as Exhibit 99.1 are being furnished to the SEC in satisfaction of the public disclosure requirements of Regulation FD and shall not be deemed “filed” for any purpose.
Item 8.01. Other Events.
On November 13, 2024, Liberty Media issued a press release announcing, among other things, that it is pursuing a plan to split-off the Liberty Live Group (the “Split-Off”). Liberty Media would effect the Split-Off through the redemption of Liberty Media’s Liberty Live common stock in exchange for common stock of a newly formed company to be called Liberty Live, Inc. The Split-Off will be subject to various conditions, as set forth in more detail in the press release filed herewith as Exhibit 99.2.
The press release is being filed herewith as Exhibit 99.2 to this Current Report on Form 8-K in compliance with Rule 425 of the Securities Act of 1933, as amended, and Rule 14a-12 under the Securities Exchange Act of 1934, as amended, and is hereby incorporated by reference into this Item 8.01.
