Item 8.01.

Other Events.

On October 9, 2025, Lifeway Foods, Inc., an Illinois corporation (the “Company”), announced that the Company’s 2025 annual meeting of shareholders will be held on December 16, 2025. Any shareholder proposals or nominations under the Company’s Second Amended and Restated By-laws (the “By-laws”) must be received by the Company on or before the close of business on October 20, 2025 and must otherwise comply with the By-laws. For any proposal to be included in the Company’s proxy statement pursuant to Rule 14a-8 under the Securities Exchange Act of 1934, as amended (“Rule 14a-8”), such proposal must be received at the Company’s principal executive office no later than the close of business on October 20, 2025 and must otherwise comply with the requirements of Rule 14a-8.
