Item 7.01 – Regulation FD Disclosure
On June 10, 2025, Lineage, Inc. (“the Company”) issued a press release announcing the pricing of the notes described under Item 8.01 below. A copy of the press release is furnished as Exhibit 99.1 to this Current Report on Form 8-K.
The information included in this Current Report on Form 8-K under this Item 7.01 (including Exhibit 99.1) shall not be deemed “filed” for the purposes of Section 18 of the Securities Exchange Act of 1934, as amended (the “Exchange Act”), or otherwise subject to the liabilities of that section, nor shall it be deemed incorporated by reference into any filing made by the company or the operating partnership under the Exchange Act or the Securities Act of 1933, as amended (the “Securities Act”), except as shall be expressly set forth by specific reference in such a filing.
Item 8.01 - Other Events
On June 10, 2025, Lineage OP, LP, the Company’s operating partnership, (“the operating partnership”) priced an offering of $500,000,000 aggregate principal amount of 5.250% Senior Notes due 2030 (the “notes”). The notes will be senior unsecured obligations of the operating partnership and will be fully and unconditionally guaranteed by the Company, Lineage Logistics Holdings, LLC, and each other subsidiary of the Company (other than the operating partnership and certain excluded subsidiaries) that guarantees or is otherwise obligated in respect of the Company’s revolving credit and term loan agreement.
The notes have not been and will not be registered under the Securities Act, or any state securities laws, and may not be offered or sold in the United States absent registration or an applicable exemption from the Securities Act. The notes will be offered only to “qualified institutional buyers” under Rule 144A of the Securities Act or, outside the United States, to persons other than “U.S. persons” in compliance with Regulation S under the Securities Act.
Interest on the notes will be paid semi-annually on January 15 and July 15 of each year, commencing January 15, 2026. Settlement of the offering is expected to occur on June 17, 2025, subject to the satisfaction of customary closing conditions.
The Company intends to use the net proceeds from the notes to repay amounts outstanding from time to time under its revolving credit facility and for other general corporate and working capital purposes.
