Explanatory Note

This Current Report on Form 8-K/A is being filed as an amendment (this “Amendment No. 1”) to the Current Report on Form 8-K filed by LiqTech International, Inc. (the “Company”) with the Securities and Exchange Commission (the “Commission”) on November 30, 2021 (the “Original Report”). An incorrect version of the Letter Agreement was filed under Item 9.01 of the Original Report as Exhibit 10.1. This Amendment No. 1 amends Item 9.01 of the Original Report to include the correct version of Exhibit 10.1, the Letter Agreement, as finalized, executed and approved by the parties thereto. Except as set forth herein, this Amendment No. 1 does not amend, modify or update the disclosure contained in the Original Report.
