Item 5.02.			Departure of Director or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

(b) Joseph L. Bower has informed Loews Corporation (the “Corporation”) that, effective as of the Corporation’s 2024 Annual Meeting of Shareholders, he will retire from the Corporation’s Board of Directors. The Board thanks him for his distinguished service to the Corporation and the Board and his many valuable contributions. In connection with Mr. Bower’s retirement, the size of the Board will be reduced from twelve to eleven directors.
