Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On April 1, 2023, Sherice R. Torres notified the board of directors (the “Board”) of LogicMark, Inc. (the “Company”) of her resignation from the Board, effective April 7, 2023. The resignation of Ms. Torres as a director was not related to any disagreement with the Company on any matter relating to the Company’s operations, policies or practices. Ms. Torres was also a member of the Board’s corporate governance and nomination committee and the Chair of the Board’s compensation committee.
