Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On June 1, 2026, Ms. Lisa Locklear informed management of Longeveron Inc. (the “Company”) of her decision to step down as Chief Financial Officer, to become effective July 10, 2026. Ms. Locklear will continue to work with the Company’s current controller, Marie Washburn, who the Company anticipates will be elevated into the CFO role upon Ms. Locklear’s departure (pending final contract). Ms. Locklear intends to pursue board opportunities and other professional and personal interests, and her resignation was not the result of any disagreement with the Company regarding its operations, policies, or practices.
