Item 5.03 Amendments to Articles of Incorporation or Bylaws.
On February 13, 2025, the Board of Directors (the “Board”) of Louisiana-Pacific Corporation (the “Company”) adopted the Second Amended and Restated Bylaws of the Company (the “Amended Bylaws”). The Amended Bylaws (i) remove the director retirement age limit provisions from the Bylaws and (ii) provide that the federal district courts of the United States of America are the sole and exclusive forum for the resolution of any action asserting a claim arising under the Securities Act of 1933, as amended, in each case to the fullest extent permitted by law and unless the Company consents in writing to the selection of an alternative forum.
The foregoing summary of the changes implemented by the adoption of the Amended Bylaws is qualified in its entirety by reference to the full text of the Amended Bylaws, which are filed as Exhibit 3.1 to this Current Report on Form 8-K and is incorporated herein by reference.
Item 8.01 Other Events.
On February 14, 2025, the Company announced that the Board has declared a quarterly cash dividend to common stockholders of $0.28 per share. The dividend will be payable March 13, 2025 to stockholders of record as of the close of business on February 27, 2025.
The press release issued by the Company in connection with the dividend is included as Exhibit 99.1 to this Current Report on Form 8-K and incorporated into this Item 8.01 by reference.
