Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

Effective October 24, 2024, Patrick McNamee resigned from the board of directors (the “Board”) of LuxUrban Hotels Inc. (the “Company”). Mr. McNamee was a member of the Board’s Compensation Committee and Nominating Committee. Mr. McNamee’s resignation is not due to any disagreement with the Company on any matter relating to the Company’s operations, policies, or practices and he leaves to pursue certain opportunities.
