Explanatory Note

This Amendment No. 1 on Form 8-K/A amends the Current Report on Form 8-K of MACOM Technology Solutions Holdings, Inc. (the “Company”) filed with the U.S. Securities and Exchange Commission on August 22, 2023 (the “Original Form 8-K”). The Original Form 8-K reported the Company’s entry into an Asset Purchase Agreement (the “Purchase Agreement”) with Wolfspeed, Inc. (the “Seller”) for purchase of the Seller’s radio frequency business. The purpose of this amendment is to amend Item 9.01 of the Original Form 8-K to file the Purchase Agreement. No other changes have been made to the Original Form 8-K.
