Item 8.01 Other Events.

On March 28, 2024, MariaDB plc, an Irish public limited corporation (the “Company”) announced that on March 26, 2024, it received an unsolicited non-binding indicative proposal from Progress Software Corp. (“Progress”) to acquire the entire issued and to be issued share capital of the Company (the “Progress Proposal”), made pursuant to The Irish Takeover Panel Act 1997, Takeover Rules, 2022 (the “Irish Takeover Rules”).

A copy of the announcement dated March 28, 2024, is attached hereto as Exhibit 99.1, and incorporated herein by reference.
