Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On November 7, 2022, Masco Corporation announced that Richard O’Reagan, Masco’s Group President-Plumbing Products, notified the Company that he will retire from the Company on or about June 30, 2023. Mr. O’Reagan’s service as Group President-Plumbing Products will conclude on December 31, 2022. Effective January 1, 2023, Jai Shah, the Company’s current Group President-Decorative Architectural, will assume the position of Group President-Plumbing Products. While a successor for the Group President-Decorative Architectural position is being identified, Keith Allman, the Company’s President & CEO, will have temporary oversight of this segment. Mr. O’Reagan will remain employed as a consultant with the Company until his retirement, advising on these important transitions.
