Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On January 24, 2023, John G. Sznewajs, Vice President, Chief Financial Officer of Masco Corporation (the “Company”) notified the Company and its Board of Directors of his decision to retire effective May 31, 2023 (the “Effective Date”). Mr. Sznewajs is retiring to pursue another professional opportunity, and not as a result of any disagreement with the Company or its independent registered public accountants on any matter relating to the Company’s financial or accounting operations, policies or practices. Mr. Sznewajs will continue to serve as Vice President, Chief Financial Officer through the Effective Date, or until a successor is named by the Company, if earlier. The Company has commenced an internal and external search for Mr. Sznewajs’ successor.
