Item 8.01. Other Events.

On November 17, 2023, the Delaware Court of Chancery granted the motion of Politan Capital Management LP and Politan Capital NY LLC (“Politan”) for an award of approximately $17.8 million in attorneys’ fees and expenses relating to Politan’s lawsuit against Masimo Corporation (the “Company”) and certain of its current and former directors. The Company disagrees with the Chancery Court’s decision, but due to the discretionary nature of the award, does not intend to appeal it.
