Explanation of Responses:

1. Represents shares purchased by the Reporting Person pursuant to the Flux Power Holdings, Inc. 2023 Employee Stock Purchase Plan (the "2023 ESPP"), for the offering period of 10/1/2023 through 3/31/2024. In accordance with the 2023 ESPP, these shares were purchased in a transaction exempt under Rule 16b-3(c) at a price equal to 85% of $3.30, which was the closing price of the Issuer's Common Stock on the offering date pursuant to the provisions of the 2023 ESPP.
