Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On August 4, 2023, John M. Zaranec, the Chief Accounting Officer of Materion Corporation (the “Company”), was appointed as Division Chief Financial Officer – Performance Materials, effective as of August 28, 2023 (the “Effective Date”). Shelly M. Chadwick, the Company’s Chief Financial Officer, will assume the role of the Company’s principal accounting officer as of the Effective Date in connection with Mr. Zaranec’s transition.
