1. Grant of restricted stock units received on 11/08/2023 for no consideration that vests in three equal installments on 11/08/2024, 11/08/2025, and 11/08/2026.

2. Reflects partial lapsing of restrictions on installment scheduled to vest on 11/08/2024 to cover FICA obligation and associated income taxes for retirement eligible employees on 2023 grant of restricted stock units.

3. The closing price of the Company's common stock on 12/13/2023, the date used to calculate the FICA tax obligation in accordance with IRS rules.
