Item 8.01. Other Events.
As previously disclosed, an involuntary petition (“Involuntary Petition”) seeking the entry of an order for relief was filed by certain petitioning creditors against Mawson Infrastructure Group, Inc. (the “Company”) on December 4, 2024, in the United States Bankruptcy Court for the District of Delaware (the “Delaware Bankruptcy Court”), Bankr. Case No. 24-12726 (the “Involuntary Bankruptcy Case”). The Involuntary Petition was filed under chapter 11 (“Chapter 11”) of title 11, 11 U.S.C. § 101 through 1330 (the “Bankruptcy Code”). Following successful motions brought by the Company against the filing parties in the Involuntary Bankruptcy Case, the petitioners filed a motion to dismiss the Involuntary Petition. On October 21, 2025, the Delaware Bankruptcy Court held a hearing on the motion to dismiss and ordered the dismissal of the Involuntary Petition against the Company.
On October 21, 2025, the Company issued a press release announcing, among other things, the dismissal of the Involuntary Petition. A copy of the press release is furnished as Exhibit 99.1 hereto and is incorporated herein by reference.
