Explanation of Responses:

1. On February 9, 2024, the Issuer (f/k/a Calculator New Pubco, Inc.) consummated its initial business combination (the "Business Combination") pursuant to the business combination agreement dated November 16, 2022 (as amended, the "Business Combination Agreement") among Quantum FinTech Acquisition Corporation ("Quantum"), AtlasClear, Inc., a Wyoming corporation, and the other parties thereto. Represents shares of common stock issued to the Reporting Person as part of the consideration for the sale of the target company in the Business Combination.

2. The Reporting Person acquired the shares of Common Stock as payment of interest under convertible promissory notes issued to certain sellers in the Business Combination, including the Reporting Person, pursuant to amendments to the Stock Purchase Agreement, dated as of April 11, 2022.
