Item 8.01 Other Events

On May 30, 2025, U.S. District Court for the Southern District of New York entered a Final Judgment (the “Final Judgment”) as to Medallion Financial Corp. (the “Company”) and its President and Chief Operating Officer resolving the previously disclosed Securities and Exchange Commission (“SEC”) litigation.

The parties agreed to settle the matter with the SEC, consenting to the entry of the Final Judgment, without admitting or denying the allegations of the SEC complaint. Pursuant to the Final Judgment, among other things, (i) the parties were enjoined from violating specified provisions of the federal securities laws and rules thereunder, (ii) the Company must pay a civil penalty of $3,000,000 (which amount was previously accrued in the fourth quarter of 2024) and (iii) the Company agreed to certain compliance-related undertakings.
