Item 5.07 Submission of Matters to a Vote of Security Holders.
Merchants Bancorp (the “Company”) held its Annual Meeting of Shareholders on May 16, 2024. Matters voted upon by holders of the Company’s common stock were:
(1) | election of eleven (11) directors to the Company’s Board of Directors; |
(2) | a non-binding, advisory vote on the compensation of the Company’s named executive officers; and |
(3) | ratification of the appointment of FORVIS, LLP as the independent registered public accounting firm of the Company for the fiscal year ending December 31, 2024. |
The final number of votes cast for, against, or withheld, as well as the number of abstentions and broker non-votes, for each matter are detailed below.

Item 8.01 Other Events.
On May 16, 2024, the Company issued a press release announcing that the Company’s Board of Directors declared the following quarterly cash dividends:
· | $0.09 per share on the Company’s outstanding shares of its common stock; |
· | $15.00 per share (equivalent to $0.375 per depositary share) on the Company’s outstanding shares of its 6% Series B preferred stock; |
· | $15.00 per share (equivalent to $0.375 per depositary share) on the Company’s outstanding shares of its 6% Series C preferred stock; and |
· | $20.625 per share (equivalent to $0.5156 per depositary share) on the Company’s outstanding shares of its 8.25% Series D preferred stock. |
Each of the dividends are payable on July 1, 2024 to shareholders of record on June 14, 2024.
