Item 8.01.Other Events.
On April 15, 2025, MetaVia Inc. (the “Company”) posted an updated corporate presentation to its website at https://ir.metaviatx.com/events-presentations/presentations, which the Company may use from time to time in connection with presentations, investor communications or conferences. A copy of the corporate presentation is attached as Exhibit 99.1 to this Current Report on Form 8-K and is incorporated herein by reference.
On April 15, 2025, previously issued and outstanding Pre-Funded Common Stock Purchase Warrants (the “Pre-Funded Warrants”) to purchase 1,430,000 shares of the Company’s common stock, par value $0.001 per share (the “Common Stock”), were exercised (the “Exercise”). Following the Exercise, as of April 15, 2025, the Company had 10,084,869 shares of Common Stock issued and outstanding, and no Pre-Funded Warrants remained issued and outstanding.
