Explanation of Responses:

1. On March 28, 2024, the Company was acquired by MIWD Holding Company LLC pursuant to the merger agreement entered into by and between the Company, MIWD Holding Company LLC, and RMR Merge Co, Inc., dated as of January 16, 2024.

2. Upon the consummation of the merger, each issued and outstanding share of the Company's common stock was canceled and converted into the right receive $42.00 in cash without interest. In addition, each share of restricted stock and each restricted stock unit that were granted under the Company's Amended and Restated 2019 Equity and Incentive Compensation Plan that were outstanding immediately prior to the consummation of the merger were canceled and converted into the right to receive $42.00 in cash without interest.
