On February 10, 2022, Modiv Inc. (the “Company”) issued a
press release announcing the pricing of the Company’s underwritten public offering of 40,000 shares of the Company’s Class C common stock, $0.001 par value per share, a copy of which is attached hereto as Exhibit 99.1. The information set forth in
