Results of Operations and Financial Condition

On November 6, 2024, Modiv Industrial, Inc., a Maryland corporation (the “Company”), issued an earnings press release relating to the Company’s
financial results for the third quarter ended September 30, 2024. A copy of the press release is available on the Company’s website, is attached hereto as Exhibit 99.1 and is incorporated herein by reference. The Company also released supplemental
data on the Company’s website relating to the Company’s portfolio information as of September 30, 2024 and its financial results for the third quarter ended September 30, 2024. A copy of the supplemental data is attached hereto as Exhibit 99.2 and
is incorporated herein by reference.
